Legal Counsel - Canada

Job Description

Job Title: Legal Counsel. Location: Canada (with potential travel to other jurisdictions in the Americas). Neoen, a leader in renewable energy development, seeks a Canadian-qualified Legal Counsel to support its rapidly expanding projects in Canada and across the Americas. The role will focus on providing legal expertise throughout the project life cycle, from development and bidding to financing, construction, and operations. The ideal candidate will have substantial experience in large infrastructure projects, preferably in renewable energy.

Responsibilities:

• Business Development: Support Neoen’s participation in public/private auctions, acquisition of development assets, and co-development arrangements (MoUs, JVs).
• Project Development & Structuring: Negotiate and structure major project agreements, including real estate contracts, power purchase agreements, and EPC/O&M contracts.
• Project Financing: Manage project due diligence, negotiate finance documents, and coordinate with external legal counsel;
• Construction & Operations: Oversee contract management, claims management, and resolution of issues related to force majeure, accidents, and permitting.
• Dispute Management: Handle local disputes, litigation, arbitration, and claims management in collaboration with local counsel;
• Corporate Governance: Incorporate operational/development companies, ensure compliance with corporate laws, and respond to internal team queries.

Qualifications:

• Education: Master’s degree in Law, Canadian qualification as a lawyer.
• Experience: 3-7 years of legal experience, preferably a combination of law firm and in-house roles.
• Sector Expertise: Legal and claims management experience in infrastructure, financing, and renewable energy projects.
• Communication: Proficient in English (additional knowledge of French/Spanish is a plus);
• Skills: Strong negotiation abilities, business partnership mindset, and familiarity with Canadian energy regulations.
• Travel: Flexibility to travel within Canada and occasionally to other parts of the Americas or Neoen’s headquarters in Paris.
